Shaw/Evanston_ Associates • for Certain Parking Related to the Research Park j WHEREAS, THE City of Evanston ("City") and Northwestern University ("University") have entered into a certain Agreement for Purchase and Sale of Real Estate dated as of October 3, 1986 by and among TOPCORP, Inc. an Illinois i (Corporation ("TOPCORP") and the City and University, as Sellers, whereby TOPCORP has agreed to purchase certain .real estate described therein ("Land") on the terms and conditions set forth therein, which Land is currently owned or is to be acquired by the City or University; and WHEREAS, Research Park,.Inc., an Illinois corporation ;and wholly -owned subsidiary of TOPCORP ("RPI"), has entered into a certain Development and Purchase Option Agreement • 11("Development Agreement") dated as of November 17, 1987 with • il Charles H. Shaw/Evanston Associates, an Illinois general partnership ("Developer"), which has been consented to for i certain purposes by TOPCORP, whereby Developer has agreed to develop the Land as a research and development park ("Park") eland TOPCORP and RPI have agreed to grant Developer the right to i lease and/or / purchase the Land or portions of the Land on the terms and conditions set forth therein; and WHEREAS, as a condition to entering into the Development Agreement, TOPCORP and RPI agreed to use their best efforts to cooperate with Developer in obtaining the consent of the City and University to Developer's use of any portion of. the Land that Developer deems necessary for surface parking; and WHEREAS, as interim owners of substantially all of the Land in the Park, the City and University are willing to -1- P L-. provide surface parking at a rate and on terms and conditions i ji set forth in a master parking agreement Exhibit B for use by Developer, its successor and assigns, in connection with the development and use of the Park; and i WHEREAS, the City Council of the City of Evanston Ii finds, that the best interest of the City of Evanston would be i served by the execution of a master parking agreement for any portion of the Land that the developer seems necessary for li i surface parking; and i WHEREAS, pursuant to Title 1-17-4-1, the City Council may by resolution authorize any municipal officer to lease real property for purposes of parking for any term; i jI NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF EVANSTON, COOK COUNTY, ILLINOIS: Section 1: That the City Manager is authorized and directed to sign and the City Clerk is �ihereby authorized and directed to attest on behalf of the City of Evanston, a master parking agreement by and between the City . i !,!of Evanston, Northwestern University and Charles H. Shaw/Evanston Associates, an Illinois General Partnership or ,i Bits affiliates as lessee for surface parking for any portion of ;.the land:as set forth in Exhibit A which master parking .agreement shall be in substantial accordance with the attached d ;;Exhibit B. ii Further, be it resolved that the City Manager is authorized and the City Clerk is directed to attest on behalf !of the City of Evanston individual.parking leases for surface i !1parking for any portion of the land described in said master :!parking agreement. Said individual surface parking leases shall 'be in substantial accordance with Exhibit C. Section 2: This resolution shall be in full force ! and effect from and after its passage, i i -2- i I !
