We are pleased to submit this contract for the service and maintenance of the listed equipment
and components for this parking facility. The following pages of this agreement contain a list of
the equipment covered, monthly contract amount and the terms governing this service
agreement.
The service contractlagreement is a product for continued reliability of your installed systems
and equipment. Individual components of the systems are very costly if they were to fail or need
repair. This service contract is meant to buffer huge replacement costs, provide scheduled
preventative maintenance visits as well as provide the information needed for your operational
budgets and forecasts.
The cost of your service contract has been determined by a complex formula consisting of
statistical data based on service history, age of the covered equipment, cost of spare support
parts and prevailing labor rates. Our years of experience enhanced by our inventory of
replacement parts give you the responsive, courteous and reliable service you have come to
expect from RevCon.
This service contract is consistent with all other locally owned and/or operated parking facilities
comparable in size and kind within the market place.

The monthly contract price for coverage on the listed equipment on page two is $4,590.00 and reflects a discounted
price schedule for all listed equipment for the first year of this agreement with monthly amounts for subsequent years
provided in the table on page 6.
Inclusions:
This agreement with RevCon Technology Group, Inc. (RevCon) will provide for twelve (12) regularly scheduled
preventive maintenance inspections for the term of this agreement.
As a routine part of the maintenance and inspection program, all hardware peripheral equipment will have all worn
mechanical parts repaired, replaced, cleaned, lubricated or adjusted as needed as required by manufacturer's
specifications. If a repair in the field is not possible, RevCon will provide free loaner equipment as a temporary
replacement, when available. The original component will be returned to its proper position upon completion of the
repaigs). If the part is not repairable, a suitable replacement will be installed at no additional costs.
All repair work and replacement parts provided for by this agreement would be as a result of normal use or wear (see
Exceptions section).
RevCon will assist in the establishment of a plan for a systematic backup of the System's data files. Routine backup
of the operation's data files is solely the responsibility of site management. RevCon will maintain a backup of system
configuration files, which will be checked periodically for accuracy or backed up after any purchased system upgrade
or parameter modification,
NOTE- The computers that are mainframe to the System, including servers, workstations, substations and any other
networked clients are proprietary to the System design and should remain as installed. Unauthorized use, installation
of third parry or unauthorized software Will result in additional billable costs to restore the PC's to correct state.
Exceptions:
The following is a description of items not covered by this agreement:
a. All system program and parameter modifications as a result of Operator or Owner changes.
b. Damage that is determined to be as a result of misuse, vandalism, acts of nature, fire.
• Damage by misuse will be defined as failure caused by liquids or moisture introduced into
equipment, exposure to moisture by cleaning services, overheating cause by the introduction of
auxiliary heating units or blocking designed ventilation and raising safe ambient operating
temperatures.
• Damage by vandalism will be defined as willful or malicious damage/destruction to equipment,
components or devices and theft. Accidental damage caused by patrons' vehicles is in this category
as well as the repair or replacement costs are recoverable by your insurance or other means.
• Damage by acts of nature will be defined as wind or weather damage, lightning strikes, earthquakes
or other manifestations of highly destructive natural forces beyond human power or control.
c. Damage caused by facility electrical power failure or surge, insufficient electrical power or power
conditions beyond the thresholds of any installed surge protection and uninterruptible power sources.
d. Damage caused by armored currency collection services. Damage to note cassettes or note safes in
transit, (If this facility uses these services).
e. Damage caused by the willful unauthorized tampering by unauthorized and untrained personnel other
than Certified RevCon Service Technicians.
f, Damage caused by civil or military authority, civil disturbance, terrorist acts, war or strikes.
g. Vehicle detector loops.

h, Gate arms, forcing arms (when applicable), paper supplies or any other consumable items.
i. Magnetic key cards, proximity cards or transponders or any other consumable access system device.
If this location has credit card acceptance and clearing, RevCon is not responsible for transaction and
data recovery resulting from the clearinghouses' inability to receive and process attempted [batch]
transmissions. A certified RevCon technician will assist management with re -submittals if required and
time for these services will be invoiced pro -rats. If this facility has "real-time" credit card clearing
services, RevCon can only assist management relative to the base system data files or properly
executed backup files compiled by your operator. No responsibility rests with RevCon or may be
interpreted to include any conflicts that may arise by using third party clearing services.
Effective Hours and Rates:
The hours and labor rates affecting this agreement will be as follows:
• Monday through Friday 7:00 a.m. to 4:00 p.m. Central Time, with RevCon observed holidays excluded.
• After hours, and weekend service is available upon your request. You will be billed separately a minimum 2
hour minimum labor charge at the normal hourly rate of $172.00 per hour if such service is requested. (see
schedule below)
• Holiday service is available at 3 times the normal hourly labor rate or $330.00 per hour. The 2 hour minimum
labor charge will also apply. (see schedule below)
• Wait times for Management or authorized personnel to show up with keys to equipment, equipment rooms
or closets, offices, locks, alarms, etc„ will be billed in even hour increments rounded up to the nearest hour
at the applicable rate structure below.

Holidays Observed: New Year's Day, President's Day, Memorlai Day, Fourth or July, Labor Day, Thanksgiving Day and Christmas Day.
Response Time and Procedures:
During normal business hours, facility management may expect a response to a request for service to be normally
Within two (2) hours from initial placement. After hours, weekend and holiday service requests will be responded to
within three (3) hours or less of placement. When a request for service has been registered with RevCon's Service
Department, a Service Technician will be dispatched. Our service department makes every effort to qualify each
service request to determine the urgency of the request, order in which it was received and the logistic relationship to
a Service Technician's present location.

Resnonse Time and Procedures. continued:
In the unlikely event that a RevCon Service Technician cannot arrive at the site in a timely fashion, he will initiate a
telephone call to the site. The Service Technician, under his sole discretion, will qualify the problem and authorize or
not, site personnel to attempt a resolution to the problem or implement temporary procedures until he arrives.
Unauthorized handling of the components of any equipment may cause further damage to the component, delay
diagnosis and subsequent repairs or void any manufacturer's warranty if applicable.
Therefore, it is imperative that the following procedures be followed:
• The manager or site personnel who placed the service request are available onsite when the Service
Technician arrives in response to the service request.
• If the manager is leaving at the end of his shift or cannot meet with the Service Technician upon his arrival
for any reason, he/she leaves a concise, readable and detailed written description of the problem and
troubled equipment location.
• Keys to the equipment and access to System equipment (office) are available to the Service
Technician.
• Management or an official signatory for the facility signs and accepts a copy of the work order upon
completion of the work performed.
Insurance:
A blanket certificate of insurance could be supplied to your Corporate General Office and becomes a part of this
agreement, covering any liability resulting from any injury of a RevCon employee while performing any service related
duty under this agreement. This certificate shall also demonstrate compliancy with respect to all Workmen
Compensation and Right to Work laws.
If a site -specific certificate is required, a written request for such must be sent to our offices and a new certificate will
be provided. The site -specific certificate will become a part of this agreement upon receipt and should be attached
hereto.
Warranty:
RevCon warrants that the equipment will be serviced to keep it in proper working order. RevCon's obligation is limited
to the repair on the equipment and replacement of worn or broken parts for the term of this agreement.
THESE WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES EXPRESSED OR IMPLIED (INCLUDING
WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE). IN NO EVENT SHALL REVCON TECHNOLOGY GROUP, INC. BE LIABLE FOR ANY SPECIAL,
INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOST
PROFITS) CAUSED BY DEFECTIVE MATERIAL, OR BY UNSATISFACTORY PERFORMANCE OF THE
PRODUCT. IF REPLACEMENT OF ANY WORN OR BROKEN ITEM(S) IS A RESULT OF IMPROPER
INSTALLATION PERFORMANCE BY REVCON TECHNOLOGY GROUP, INC., REVCON WILL BE LIABLE FOR
SUCH DIRECT DAMAGES ONLY.
Other Provisions:
In the event that equipment and devices vital to this location's PARC System become damaged and are not covered
under the terms of this service agreement, RevCon shall issue a 25% discount on any required new component(s) for
the System and a 10% discount on any relating labor charges.

Terms and Conditions:
Upon acceptance of this agreement, RevCon Technology Group, Inc. will provide for all maintenance and repair of
the previously listed equipment for a period of thirteen (13) months of the first year beginning on November 1, 2008
and ending December 31, 2009, with subsequent years in the table below ending December 31, 2013.
The City of Evanston agrees make payments monthly in the amount of $4,590.00 with the initial payment due on or
before November 15, 2008 or upon complete execution of this agreement. All subsequent payments are to be
made by the 15th of the month as invoiced, proceeding the month in which services are to be performed.
Cancellation:
The City of Evanston reserves the right to cancel this agreement in whole or in part with a 30 day written notice via
certified/registered mail.
