References Services Agreement

As we discussed, Jenkins & Hogin is pleased to provide you with special counsel
services relating to rehabilitating an ice skating rink in the City of Evanston.
We will bill you for services at the rate of $215 per hour. Karl H. Berger of the
firm will serve as advisor to Corporation Counsel regarding the City of Evanstor's intent
to enter into a design, build, operate and finance ("DBOF") agreement related to its ice
skating rink. We will not bill you for any expense other than extensive copying, delivery
charges and electronic legal research (all at our cost). In addition, we would charge for
any travel expenses (without mark-up) incurred as a result of traveling to Illinois. We
charge in tenth of an hour increments and will provide you with a detailed billing
monthly. We expect payment within 30 days of our invoice date.
We maintain professional liability insurance in the amounts of $2,000,000 per
occurrence and $4,000,000 aggregate. The Firm does not and will not discriminate on
any basis prohibited by law.

Any dispute under this agreement will be resolved through binding arbitration.
This retainer agreement is subject to California law for purposes of venue and
interpretation. You may, of course, terminate this agreement at any time by providing the
Firm written notice of termination.
Please note that Mr. Berger is not licensed to practice law within the State of
Illinois. Pursuant to Rule 5.5(c) (1) of the Illinois Rules of Professional Conduct, Mr.
Berger will temporarily associate myself with Corporation Counsel.
The firm does have an attorney who is licensed in Illinois, Mr. Paul Bennett (IL
Bar #6277116). We do not anticipate that the types of services you are requesting
require that Mr. Berger be a member of the Illinois Bar. To the extent the City requires
such legal services, Mr. Bennett can help.
If the foregoing accurately sets forth the terms of our engagement, please sign at
the bottom of this letter and return a copy for my files. Your signature below warrants
that you are authorized to bind the City to the terms of this agreement.
We appreciate the opportunity to be of service to the City.
