AN ORDINANCE
Authorizing the City Manager to Negotiate the Sale
of Certain Real Estate and Authorizing the Publication
of a Notice of Intent to Sell Certain Real Estate
WHEREAS, the City of Evanston is desirous of selling
the property described in Exhibit A, attached hereto and
incorporated hereby by reference, such property commonly known
as:
Northwest Corner parcel of Church and Maple
Southwest corner parcel of Maple and Clark
Block bounded by Maple, University, Railroad and Clark
1019 University Place
1039 University Place
1839-1851 E. Railroad Avenue
1014 Emerson Street
1006 Emerson Street; and
WHEREAS, the City of Evanston is obligated pursuant
to a statement of understanding executed February 8, 1986 by
and between the City of Evanston and Northwestern University to
use its best efforts to acquire certain property described in
Exhibit B attached hereto and incorporated herein by reference,
such property commonly known as:

WHEREAS, the City of Evanston, pursuant to the
aforementioned memorandum of understanding by and between the
City and Northwestern University is obligated to sell and
convey the property more particularly described in the
aforementioned Exhibits A and B to Topcorp, Inc.; and

WHEREAS, said property is presently used as parking,
storage, a furniture store, an animal shelter, a senior
citizens center, residential use, commercial use and other
property held vacant of any substantive uses; and
WHEREAS, in the opinion of the corporate authorities
of the City of Evanston, ownership of said real estate is no
longer necessary, appropriate, required for the use of, or in
the best interest of said City; and
WHEREAS, the corporate authorities of the City of
Evanston have determined that the best interests of the City of
Evanston would be served by the sale of said property to
parties who will develop said property for a mixed use
development with a research park focus; and
WHEREAS, the corporate authorities of the City of
Evanston have deemed that the sale of said property is to take
place as the result of negotiation.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF
THE CITY OF EVANSTON, COOK CCUNTY, ILLINOIS;
SECTION 1: That the City Manager be and is hereby
authorized and directed to negotiate the
sale of the real estate legally described as set forth in
Exhibits A and B attached hereto and incorporated herein by
reference and commonly known as Downtown
II-Evanston/Northwestern University Research Park.
to:
Such negotiations shall include but not be limited
A. An agreement that the City shall sell the property as
set forth in Exhibits A and B. The purchase price
for any parcel shall be an amount equal to the
greater of (i) the appraised fair market value of
that parcel and (ii) the property cost of that
parcel; in each case, however, adjusted by the net
amount of all closing prorations;
B. That the City will acquire the real property as set
forth in Exhibit B attached hereto and incorporated
herein by reference;
C. That title, use and possession of any parcel shall
remain with the seller until time of closing;

D. That if necessary a time shall be established for
subsequent appraisals of said property and that a
basis and method for such appraisals be established;
E. Specific conditions for purchaser's obligation to
purchase shall be established, including but not
limited to title insurance commitment, survey, legal
requirements and leases;
• F. The closing date with respect to any particular
parcel shall occur not later than eight (8) years
after the date of the execution of the agreement for
purchase and sale of real estate.
G. Seller shall provide at closing the following:
A warranty deed, assignment of leases, assignment of
service and maintenance contracts, a quitclaim bill
of sale for personal property,'owner's title policy,
and other documents as may be required.
H. Purchaser shall provide a promissory note in the
principal amount of the purchase price, a proper
mortgage, Uniform Commercial Code financing documents
as required;
I. Specific conditions under which the respective
parties may be relieved of their contractual
obligations shall be established;
J. Specific conditions concerning seller's and/or
purchaser's default shall be established;
Pursuant to Section 1-17-4-2(B) an affirmative vote
of two-thirds (2/3) of the elected aldermen is required to
• accept the recommendation of the City Manager on the
negotiations authorized herein. The City of Evanston reserves
the right to reject any and all negotiations.
SECTION 2: The City Manager is hereby author-
ized and directed to give notice of
intent to sell the aforementioned real estate. Such notice of
intent to sell must be published at least once in a daily or
weekly newspaper in general circulation in the City. The
publication must not be less than fifteen (15) nor more than
thirty (30) days before the date on which Council shall
consider the adoption of said ordinance.
SECTION 3: That the Notice of Intent to sell
