A RESOLUTION
Authorizing the City Manager to Sign an
Agreement with Northwestern University
for the Installation of Lighting Fixtures

WHEREAS, the City of Evanston owns and operates an electrical
street light service throughout the City; and
WHEREAS, Northwestern University wishes to install at its sole
expense additional street light installations so that the lighting level is increased
for the entire distance along Judson Street and Sheridan Road up to the south
entry to the campus; and
WHEREAS, upon satisfactory completion of the installation, the
University will assign its interest in said installation to the City, and the City
agrees to accept such assignment;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL
OF THE CITY OF EVANSTON, COOK COUNTY, ILLINOIS:
SECTION 1: That the City Manager is hereby authorized to sign
and the City Clerk hereby authorized to attest an Agreement with Northwestern
University for the Installation of Lighting Fixtures, attached hereto as Exhibit 1
and made a part hereof.

SECTION 2: That the City Manager is hereby authorized and 0
directed to negotiate any additional conditions of the Agreement as may be
determined to be in the best interests of the City.
SECTION 3: That this Resolution shall be in full force and effect
from and after its passage and approval in the manner provided by law.

• AGREEMENT
THIS AGREEMENT ("Agreement") made as of October_, 2005, by and between THE
CITY OF EVANSTON, a municipal corporation (the "City") and NORTHWESTERN
UNIVERSITY, an Illinois corporation (the "University").
RECITALS
A. The City owns and operates an electrical street light service throughout the
City.
B. The University wishes to install at its sole expense additional street light
installation so that the lighting level is increased for the entire distance along
Judson Street and Sheridan Road up to the .south entry to the campus as set
forth in Exhibit A attached hereto and incorporated herein by reference.
Upon satisfactory completion of the installation, the University will assign its
interest in said installation to the City. The City agrees to accept such
assignment.
C. In order to allow the University to install the installation, the City and the
University agree as follows:
• NOW THEREFORE, in consideration of the mutual promises, undertakings,
covenants and agreements of the parties, and for other good and valuable consideration,
the receipt and sufficiency of which is hereby acknowledged, it is hereby agreed by and
between the parties as follows:
1. Tenn. The term of this Agreement ("Term") shall coinmence October_, 2005
and shall expire upon completion of construction and installation of street light
service.
2. Installation of Lighting. The University at its sole cost and expense shall
purchase and install the installation in accordance with the plans and
specifications as set forth in Exhibit B attached hereto and incorporated herein.
3. Permits. The University shall obtain all necessary permits as required by the City
and any other regulatory entity for the installation. The University shall be
responsible for any fees associated with the permitting process.
4. Contractor. The University shall contract with a street lighting contractor
approved by the City.
5. Comnletion and Dedication. Upon completion of the successfiil installation, the
• City will inspect the installation and sign -off on the work before accepting said
installation into its system. University will provide City with proof of releases of
lien -waivers and the like from the contractor showing that all payments have been
made. University will dedicate the installation to the City at no cost. City will
accept title to the installation and incorporate said installation into its current
lighting system.
6. Indeninification. The University agrees to indemnify and hold harmless the City •
from the payment of any stun or sums of money, to any persons whomsoever on
account of all claims, actions or suits growing out of injuries to persons or
property arising out of the University's installation, except for injuries to persons
or property arising out of the negligence or willful misconduct of the City.
7. Insurance. The University shall obtain insurance from all contractors on the teens
and conditions as set forth in Exhibit C. It is hereby agreed and understood that
all insurance shall be in full force prior to commencing work and remain in force
until the entire installation is completed.
Successors and Assigns. The rights and obligations of the parties hereto shall
inure to the benefit of each of their successors and assigns; provided, however,
that the interest and rights of the University hereunder shall not be assignable at
any time.
9. No Real Estate Interest. This Agreement does not create an interest in real estate
and the University acknowledges that the University does not and shall not claim
at any time any interest of estate of any kind or extent whatsoever in any of the
City's property by virtue of this Agreement or the University's installation
pursuant hereto.
10. Anti -Discrimination, Minority Business Enterprises, Etc. While University does •
not require minimum percentages of participation, University is committed to the
goal of enhancing opportunities for minority/women/disadvaritaged/local business
enterprises. University requires bidders to submit a diversity plan that governs
the activities of the Contractor, Subcontractors, Sub -sub contractors and
Suppliers. University also tracks the utilization of M/W/D/LBEs through forms
attached to payment requests.

City staff has reviewed your proposal to install a total of 17 street lights in the Sheridan -Judson -
Church area on City right-of-way. 14 of these lights will be pedestrian -scale lighting with a
mounting height of about 12 feet and 3 will be full-size Tallmadge fixtures. While there is no •
pedestrian scale Tallmadge light available, the lights you have selected are very good
approximations of the Tallmadge fixture and will blend in well, in my opinion. All lights are
proposed to be connected to the City's street lighting system which will be upgraded in this area
to accommodate these additional lights. I understand that the University will complete this work
at its expense (including the electrical upgrade) and that the City will pick up the operating and
maintenance cost. Since the smaller lights are not found anywhere else in our system, we ask that
you provide two spares to replace l(nockdowns.
We have also reviewed your photometrics and the numbers look reasonable. While these are
going in as 165 watt QL lights, I will recommend that the final agreement allow this wattage to be
reduced, should this become necessary in the future. I understand that the final agreement could
not be prepared before the design is approved, but we should be able to proceed after approval by
Preservation which could happen as early as this evening.
In summary, we are in agreement with your proposal and look forward to working with you on
this project.

A pole part number can be broken down into 4 items, the base style (first two numbers),
the height (second two numbers), the shaft type (one, two or 3 letters) and the shaft diameter
nl.mber). An example part number for an Oxford, 12' pole with a 6"diameter tapered
flut.�ri shaft: 6212TFP6.
Exceptions to this format: 450, 550 and 650 poles state the 3 digit base first, the shaft type
second then the shaft diameter followed by the pole height:, 450FP4-12. No shaft type or
diameter notation is required on the square 4SQ, 5SQ and 6SQ poles.

Step 2 - Select a Height
Heights are generally noted in 2' increments starting at 8% but with extruded shafts odd
heights are available and the overall height can be specified down to the height of the base.
Cast shafts have set lengths, limiting available heights to those catalogued.
The maximum height of the desired assembly is dependent on the Effective Projection Area
(EPA) and weight of the fixtures, arms and accessories (see pages 1224125) to be mounted
and the area wind speed requirement. Please.inform factory of any desired accessories,
especially banners and signage. Recommendations such as using a different shaft or larger
scale base can be made to meet your structural or aesthetic requirements.

Installation of Poles
Standard poles mount with four "L" type anchor bolts. Refer to base template for bolt size
and orientation. Depending on requirements, we may be able to modify some bases to use
existing anchor bolts. ONLY INSTALL ANCHOR BOLTS AFTER.RECEIVING THE STERNBERG ANCHOR
BOLT TEMPLATE FOR YOUR PROJECT.
The alternative to anchor base installation is direct burial (DB) or helix burial (HB).
Add DB or HB to the end of your pole part number, i.e.; 6212TFP6-DB.
Sternberg does not make footing recommendations as local codes and soil conditions vary.
Sternberg's Gmamenlal piles may
be installed by the Deed Burial
method of installation. A hole is dug
wide and deep enough to accom-
modate the pole burial section and
backfill material. The pole is low-
ered into the hole. the below grade
wires are fed through the pole and
the hole is backfilled and tamped
using the appropriate backfill mate-
rial for the soil conditions present.
The pole's burial section vdif vary
with size of pole and soil condi-
tions, To specify, simply add OB
at the end of the Sternberg pole's
catalog number.
HELIX BURIAL INSTALLATION
Sternberg's Helix foundation system
allows the installation of poles with
or without the need of pouring a
concrete foundation or even boring
a hole. A steel helix foundation,
properly sized for the particular light -
pole, is screwed into the solid
ground using a rotating boom dig-
ger -derrick truck. The helix founda-
tion is screwed into the ground until •
its top plate is at the desired height.
The last step is to pull the wires
through the foundation and bolt the
streetlight pole base to its top plate.
To specify, add HB at the end of the
Sternberg pole's catalog number.

Exhibit C — Insurance Reauirements for Citv of Evanston
It is hereby agreed and understood that the insurance required by the City of Evanston is
nrimary coverage and that any insurance or self insurance maintained by the City of
Evanston, its officers, council members, agents, employees or authorized volunteers will
not contribute to a loss. All insurance shall be in full force prior to commencing work
and remain in force prior to commencing work and remain in force until the entire job is
completed or the length of time that is specified in the contract.
I. General Liability Coverage
A. Conmlercial General Liability
(a) $1,000,000 general aggregate
(b) $1,000,000 products —completed operations aggregate

(d) $500,000 each occurrence limit
B. Claims made fond of coverage is not acceptable

IV. Builder's Risk/Installation Floater
A. City of Evanston will not assume responsibility for loss, including loss of
use, for damage to property, materials, tools, equipment, and items of similar nature
which are being either used in the work being performed by the contractor or are to be
installed or erected by the contractor unless coverage is specifically to be purchased
by the City of Evanston and specified in the contract documents.
If coverage is desired for this exposure the contractor may, atlas own cost, procure
insurance to cover same.
V. Additional Provisions
Additional Insured — On the General Liability Coverage & Business Automobile
Coverage: City of Evanston, and its officers, council members, agents, employees, and
authorized volunteers shall be Additional Insureds. 0
Endorsement — The Additional Insured Policy endorsement must accompany the
Certificate of hsurance.
Certificates of Insurance - A copy of the Certificate of Insurance must be on
file with the Law Department.
Notice — The City of Evanston requires 30-day written notice of cancellation,
non -renewal or material change in the insurance coverage.
The insurance coverage required must be provided by an insurance carrier with the
"Best" rating of "A-VII" or better. All carriers shall be admitted carriers in the State of
Illinois.
