HomeMy WebLinkAboutRESOLUTIONS-1993-007-R-9311-24-92 1-5-93 7-R-93 A RESOLUTION Stating the Criteria and Selection Process for City Appointees to TOPCORP and Research Park, Incorporated WHEREAS, the Statement of Understanding between the City of Evanston and Northwestern University, with respect to the Evanston/University Research Park was approved by the Evanston City Council and signed by the respective entities on February 5, 1986, and WHEREAS, the Statement of Understanding and the related Master Plan set forth the objectives of the Evanston/University Research Park and the City's goals for its development; and WHEREAS, the Board of TOPCORP and the Board of Research • Park, Inc. were established and incorporated in the State of Illinois pursuant to the Statement of Understanding; and z�r, - WHEREAS, the City of Evanston is authorized to appoint seven (7) directors to the Board of TOPCORP and three (3) directors to the Board of Research Park, Inc.; and WHEREAS, it the responsibility of the City appointees to TOPCORP and Research Park, Inc. to ensure that the stated goals and objectives established by the Statement of Understanding and by the Articles of Incorporation of Research Park, Inc. and TOPCORP are achieved; and WHEREAS, it is advisable to set forth criteria for selection for City appointees to both the Boards of TOPCORP and Research Park, Inc. in order to ensure qualified appointees, and 7 -R- 9-3 . promote the municipal benefits of the Evanston/University Research Park. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF EVANSTON, COOK COUNTY, ILLINOIS: SECTION 1: Selection of City members to TOPCORP: The City -appointed and reappointed members of the Board of TOPCORP shall be the Mayor of the City of Evanston, the City Manager of the City of Evanston and an Alderman selected from the Economic Development Committee. The Alderman shall be appointed or reappointed by the Mayor with the advice and consent of a majority of the City Council. SECTION 2: Selection of City members to Research Park, Inc: The City -appointed and reappointed members of the Board of Research -Park, Inc. shall be selected in • the manner-tutlined below. Aldermen are eligible for appointment to the Board of Research Park, Inc. and may apply directly to the Mayor. The process for selection of other City -appointees shall be as follows: A. Three months prior to expiration of the term of any director appointed by the City or upon the creation of a vacancy of a City appointed director, an application for appointment shall be made available to the public and shall be publically announced to residents. B. Applications shall be completed and submitted to the Mayor for review no later than thirty (30) days following the public announcement. C. The Economic Development committee shall review the applications and advise the Mayor as to the qualifications of the candidates. 7-R-93 D. The Mayor and/or the Economic Development Committee may choose to interview selected candidates. E. The Mayor shall then appoint all members of the Research Park, Inc. Board with the advice and consent of the Evanston City Council. SECTION 3: Qualifications/criteria for City members to Research Park, Inc. that are to be considered: The Economic Development Committee shall review candidates application's on the basis of the following criteria and qualifications: A. Awareness of the character of Evanston. 1. Sensitivity to the variety of community concerns expressed regarding development of the Evanston/University Research Park. 2. Understanding of the history of Evanston and its various governmental bodies and how they relate to the Park. 0 3. Sensitivity to the site and environment of the park and the pluralism of the community. _.. 4. Recognition of the heterogeneous economic and cultural diversity of the City. B. Useful Expertise and Skills. 1. Business development. 2. Finance. 3. Management of land and real property. 4. Marketing. 5. Design and Development Skills. 6. Planning Skills. C. Commitment to Goals of Project. 1. Mixed Use of Land in the Park. 7-R-93 2. Covenants of the Statement of Understanding including, . but not limited to those set forth in Appendix C of the Statement of Understanding. 3. Maintenance of Communication with City officials. D. Devotion of necessary time and energy to the Project. SECTION 4: Those persons appointed and reappointed as directors to the Boards of TOPCORP and RPI by the City shall periodically submit written reports to the City Council regarding all matters affecting the Research Park, but no less than quarterly, and shall also be available with respect to said periodic reports with the City Council to discuss the Research Park, to receive suggestions and recommendations from Council members, to respond to Council members, and to report any consideration of Council recommendations made previously. SECTION 5: That this Resolution shall take and effect and be in full force from and after its passage as provided by law. Mayor i / Clerk Adopted: , 1993 •
